Pasmay Terms & Conditions (Terms of Service)

Welcome to Pasmay! These Terms & Conditions (“Terms”) govern your access to and use of the Pasmay website, mobile application (Progressive Web App – PWA), and services (collectively, the “Service”).

Pasmay operates a multi-vendor online marketplace designed to connect local brick-and-mortar retail stores (“Vendors”) in Raipur, Chhattisgarh, with local shoppers (“Users” or “you”). Our Service allows Users to discover products online, place an “order” (acting as a reservation or confirmed lead for in-store pickup), and then complete the purchase directly from the Vendor at their physical store.

IMPORTANT NOTE: Pasmay does NOT process any online payments for products. All product payments are made directly by the User to the Vendor at the physical store. Pasmay is not involved in the actual sales transaction, fulfillment (delivery), or returns/refunds for products.

By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms, whether you are a User or a Vendor. If you do not agree with these Terms, please do not use the Service.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Pasmay. By accessing or using the Service, you confirm your acceptance of these Terms and any future amendments, modifications, or additions as published on Pasmay. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Pasmay Service Overview

Pasmay provides:

• An online platform for Vendors to list and showcase their products.
• A search and discovery tool for Users to find products and stores based on location.
• A mechanism for Users to place an “order” for in-store pickup, acting as a reservation or a confirmed lead for the Vendor.
• A “done-for-you” setup and ongoing digital store management service for Vendors (as per their subscription plan).
• A QR code feature to link physical stores to their digital catalogs on Pasmay.
• PWA functionality for an app-like browsing experience.

Pasmay is an intermediary platform. We are not a seller of products, nor are we a party to the actual sales transaction between a User and a Vendor.

3. User (Shopper) Responsibilities & Terms

a. Account Creation: To use certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

b. “Orders” (Reservations):

* When you place an “order” on Pasmay, you are making a reservation or expressing strong intent to view and potentially purchase the product(s) at the Vendor’s physical store.

* This is NOT an online purchase. No payment is collected by Pasmay.

* You are responsible for picking up the reserved product from the Vendor’s store within the timeframe specified by the Vendor (if any).

* Failure to pick up reserved items may result in penalties, including cancellation of your reservation, reporting to Pasmay, or temporary/permanent suspension of your account if it becomes a recurring issue.

c. In-Store Purchase & Payment: All payments for products are made directly to the Vendor at their physical store at the time of pickup, using their accepted payment methods (e.g., cash, card). Pasmay is not involved in processing these payments.

d. Product Viewing & Try-On: You acknowledge that the purpose of the reservation is to allow you to inspect, try on, or examine the product in-store before making a final purchase decision.

e. Pricing: While Pasmay strives for accurate pricing on listings, the final price of the product is determined by the Vendor at the point of sale in their physical store.

f. Returns & Refunds: All returns, refunds, and exchanges are solely governed by the individual Vendor’s return policy at their physical store. Pasmay is not responsible for facilitating or processing returns or refunds for products purchased from Vendors. You must address any return or refund requests directly with the Vendor.

g. Interactions with Vendors: Any interactions, disputes, or issues related to product quality, availability, or in-store experience are solely between you and the Vendor. While Pasmay may facilitate communication channels, we are not responsible for the resolution of such disputes.

4. Vendor Responsibilities & Terms

a. Account & Subscription: To list products on Pasmay, you must register as a Vendor and subscribe to a Pasmay Vendor plan (e.g., ₹1899 for 75 products/year). You agree to pay all applicable subscription fees as per your chosen plan.

b. Product Listings: You are responsible for the accuracy, legality, and quality of all products listed on your Pasmay store. You grant Pasmay permission to perform product photography, image editing, optimization, and content creation (descriptions) as part of the “done-for-you” service.

c. Inventory Management: You are responsible for keeping your product inventory on Pasmay updated to reflect actual availability in your physical store.

d. Handling “Orders” (Reservations): You agree to acknowledge and prepare products for in-store pickup for Users who place “orders” on Pasmay. You are expected to notify Users when their order is ready for pickup.

e. In-Store Sales & Payment: You are solely responsible for completing the sale and collecting payment directly from the User at your physical store.

f. Returns & Refunds: You are solely responsible for managing all returns, refunds, and exchanges for products purchased from your store, according to your own publicly stated store policy.

g. Conversion Reporting: You agree to cooperate with Pasmay in efforts to track and report the conversion of Pasmay-generated leads into actual in-store sales. This data is crucial for Pasmay to demonstrate value and improve the service.

h. Compliance: You agree to comply with all applicable local, state, and national laws and regulations related to your business operations and sales.

5. User Conduct

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Infringe upon the rights of others, including intellectual property rights.
• Transmit any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable material.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to any portion or feature of the Service, or any other systems or networks connected to the Service.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

6. Intellectual Property

All content on Pasmay (excluding Vendor-provided product images and descriptions, for which Vendors grant Pasmay a license), including text, graphics, logos, images, software, and the compilation thereof, is the property of Pasmay or its suppliers and protected by intellectual property laws. Vendors retain ownership of their original product images and descriptions but grant Pasmay a license to use and display them on the platform.

7. Disclaimers

a. No Warranty: The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Pasmay makes no warranties, express or implied, regarding the operation of the Service or the information, content, materials, or products included on the Service.

b. Vendor Responsibility: Pasmay does not warrant or guarantee the quality, safety, accuracy, legality, or availability of products or services offered by Vendors. Users engage with Vendors at their own discretion and risk.

c. No Payment or Fulfillment Responsibility: Pasmay expressly disclaims any responsibility for payment processing, product fulfillment (delivery), or returns/refunds for any products “ordered” through the Service. These are direct responsibilities between the User and the Vendor.

d. Accuracy of Information: While Pasmay strives to maintain accurate product and store information, we do not guarantee the real-time accuracy of inventory or pricing displayed on the platform. Final confirmation is with the Vendor in-store.

e. Technical Issues: Pasmay is not liable for any technical issues, downtime, or interruptions of the Service.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Pasmay, its affiliates, directors, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Indemnification

You agree to indemnify and hold harmless Pasmay and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable attorney’s fees and costs, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us.

Vendor subscriptions will terminate according to the terms of your subscription agreement.

11. Governing Law & Jurisdiction

These Terms shall be governed and construed in accordance with the laws of [Your Jurisdiction, e.g., the State of Chhattisgarh, India], without regard to its conflict of law provisions.

Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in [Your City, e.g., Raipur, Chhattisgarh].

12. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13. Entire Agreement

These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
